Biography
Andrew J. Schulson is Partner at Garfunkel Wild,
P.C. and Co-Chair of the firm’s Finance and Real
Estate Practice Group and is a member of the Business
and Litigation & Arbitration Practice Groups as well.
Mr. Schulson’s practice includes representation of
health care organizations in taxable and tax-exempt
financings and refinancings, with a focus on the
construction, regulatory, tax, corporate, real estate
and related aspects of health care organizations. Such
representation includes numerous transactions with the
Dormitory Authority of the State of New York, Industrial
Development Agencies in New York State, Capital Resource
Corporations, Division of
Housing and Community Renewal, New York City Housing
Development Corporation and New York State Housing
Financing Agency. These transactions have included
credit enhancement in the form of letters of credit,
bond insurance and mortgage insurance through the United
States Department of Housing and Urban Development.
In addition, Mr. Schulson represents clients in
connection with the negotiation of tax-able and
tax-exempt leases.
Mr. Schulson also represents numerous lenders in many
types of taxable and tax-exempt loan transactions and in
connection with serving as letter of credit bank on such
transactions.
Since joining the firm in 1997, Mr. Schulson has worked
extensively on matters relating to not-for-profit
corporate governance and related tax issues for large
and small hospitals, nursing homes, continuing care
retirement communities, assisted living and health
system clients.
Mr. Schulson also represents owners, contractors,
construction managers and architects in the drafting and
negotiation of agreements for design and construction
services. Mr. Schulson also consults clients on
disputes relating to construction.
Mr. Schulson advises and
represents clients, both for-profit and not-for-profit,
in connection with complex transactions, including
acquisitions and sales of health care facilities and
other businesses, including primarily, the purchase and
sale of nursing homes.
In addition, Mr. Schulson has extensive experience with
the Attorney General and the Supreme Court of the State
of New York with the sales of all or substantially all
of the assets of not-for-profit corporations under §510
and §511 of the Not-for-Profit Corporation Law.
He is a member of the New York State Bar Association,
the American Bar Association and the Nassau County Bar
Association.
Mr. Schulson received his B.A. from St. John’s
University in 1993 and his J.D. from St. John’s
University School of Law in 1997. |
